Plain-English summary (not a substitute for the Terms): Cover is software for running an NFL pick'em pool with people you know. It is not a gambling service: no money is wagered, held, or paid out through Cover — ever. Your commissioner runs your league; Cover keeps score. Be a good sport, don't cheat the picks, and remember the NFL data we display comes from third parties and can be wrong or late.
1. Acceptance of These Terms
These Terms of Service ("Terms") are a binding agreement between you and SquiFi LLC ("Cover," "we," "us"), governing your use of the Cover application at coverpool.app and related services (the "Service"). By creating an account, accepting a league invite, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
We version these Terms. When we make a material change, you will be asked to review and accept the new version before continuing to use the Service (see Section 15).
2. Eligibility
You must be at least 18 years old to use the Service. By using the Service you represent that you are 18 or older and legally capable of entering into this agreement. The Service is not directed to children, and we do not knowingly allow anyone under 18 to hold an account.
3. Cover Is Not a Gambling Service
This section states what Cover is and — just as importantly — what it is not.
3.1 What the Service does. Cover is league-administration software: it tracks pick'em pool picks against published NFL point spreads, computes standings and tiebreakers, schedules deadlines, and sends league notifications. It is a scorekeeping and organization tool.
3.2 No wagering through the Service. Cover is not a gambling, wagering, betting, sweepstakes, or lottery service. The Service does not accept, hold, escrow, transfer, process, or pay out money or anything of value between league members, and it takes no commission, rake, or cut of anything. There is no mechanism in the Service for staking anything of value on any outcome.
3.3 Private arrangements are yours alone. Members of a private league may have their own arrangements among themselves outside the Service. Any such arrangement (a) occurs entirely outside the Service, (b) is not facilitated, endorsed, tracked as a financial instrument, or enforced by Cover, and (c) is solely the responsibility of the members involved, who must ensure it complies with the laws of their jurisdictions. Cover has no visibility into, involvement in, or liability for anything of value that league members may exchange privately.
3.4 Point spreads are reference data. The point spreads displayed in the Service are derived from publicly published third-party sportsbook lines and are used solely as a scorekeeping convention — a standardized way for your pool to judge picks. Cover is not a bookmaker, does not set or offer odds, does not accept action against any line, and does not facilitate any wager against the spreads it displays.
3.5 The payout display is bookkeeping only. Any league feature that displays payout structures, standings-based splits, or similar information is a record-keeping display of your league's own private arrangements. Cover never holds or moves the underlying funds and has no role in whether, how, or when members settle anything among themselves.
3.6 Fees are for software. If Cover charges a fee (founding leagues currently run free), that fee is payment for software services — hosting, scorekeeping, notifications — and is unrelated to any pool outcome. It is not an entry fee into a prize pool, and no part of it funds prizes.
4. Accounts and Sign-In
4.1 The Service uses passwordless email sign-in ("magic links"). You are responsible for maintaining control of the email account you register with; anyone with access to your email can access your Cover account.
4.2 You agree to provide accurate account information (a working email address and a display name that isn't misleading or offensive) and to keep it current.
4.3 You may not share, sell, or transfer your account. One person per account; co-ownership of a league seat (Section 7) is done through the Service's own co-owner feature, not by sharing credentials.
5. Leagues and Commissioners
5.1 Private leagues. Leagues are private, invite-only groups. Joining requires an invite from that league. There is no public matchmaking.
5.2 The commissioner runs the league. Each league has a commissioner (and possibly co-commissioners) with administrative powers that you, as a member, explicitly acknowledge and accept, including the power to: assign and reassign teams; manage the member roster (including removing or swapping members); override displayed point spreads for the league; excuse, void, or correct picks and graded results (with reasons recorded in the league's audit log); configure league settings; confirm playoff brackets; and transfer the commissioner role. Commissioner actions of consequence are recorded in an audit log visible to league administration.
5.3 Disputes stay in the league. Disagreements about picks, grading, corrections, team assignments, or anything else your commissioner decides are matters between you and your league. Cover provides the record-keeping (including the audit log) but does not arbitrate league disputes.
5.4 League data visibility. By participating in a league, you understand that other members of that league can see your display name, your assigned team, your picks (only after the applicable pick deadline/kickoff — never before), your record and standings, and related league activity. That visibility is the point of a pool.
6. Picks, Spreads, Deadlines, and Grading
6.1 Deadlines are enforced by the system. Picks lock at the scheduled kickoff of the relevant game (or the earlier of a game's original and rescheduled kickoff, where a game moves). Locked picks cannot be changed by members. Missing a deadline has consequences defined by league rules (for example, an automatic default pick with a recorded asterisk, or an automatic loss for repeated misses).
6.2 Lines can move; your line is frozen at the right moment. Displayed spreads may update as sportsbooks publish new lines. The line used for grading is frozen under the Service's rules (at kickoff), and commissioner overrides may adjust the effective line for your league before that freeze.
6.3 Grading is automated, with human correction. Results are graded automatically from third-party score data. Your commissioner can correct graded results with a recorded reason. Standings recompute accordingly. Tiebreakers, including any cryptographic coin flips the rules call for, are computed by the system and recorded.
6.4 No guarantee of data accuracy. Schedules, scores, and spreads come from third-party sources (see Section 10). They can be delayed, incomplete, or wrong, and games get postponed, moved, and canceled. The Service applies documented rules for these situations, and your commissioner has correction tools — but you accept that sports data is imperfect and that the recorded outcome under league rules is what governs your pool.
7. Seat Co-Ownership
A league seat may be shared by a primary owner and one co-owner through the Service's co-ownership feature. Both individuals must have their own accounts and accept these Terms. The primary owner may remove the co-owner; the commissioner's roster powers apply to the seat as a whole.
8. Acceptable Use
You agree not to:
- circumvent or attempt to circumvent pick deadlines, visibility rules (such as pick hiding before kickoff), or any other competitive-integrity mechanism;
- access or attempt to access data of leagues or members beyond what the Service intentionally shows you;
- probe, scan, overload, or disrupt the Service or its infrastructure, or use automated agents to interact with it in abusive ways;
- misrepresent your identity, impersonate others, or use an offensive or misleading display name;
- use the Service for any unlawful purpose, including operating anything that would make your use of Cover part of an unlawful gambling operation in your jurisdiction;
- resell or commercially exploit the Service without our written agreement.
We may suspend or terminate accounts that violate this section (Section 13).
9. Your Content
You retain ownership of the content you submit (such as your display name and avatar). You grant Cover a non-exclusive, worldwide, royalty-free license to host, store, display, and transmit that content solely to operate the Service (for example, showing your display name in league standings and notification emails). You represent that your content does not infringe anyone's rights.
10. Third-Party Data and Services
The Service displays NFL schedules, scores, and point-spread data sourced from third parties, and NFL team names and marks are the property of their respective owners. Cover is not affiliated with, endorsed by, or sponsored by the National Football League or any NFL team. Third-party data is provided "as is"; Cover does not warrant its accuracy, timeliness, or availability. The Service also relies on third-party infrastructure providers (hosting, database, email delivery), whose availability affects the Service.
11. Intellectual Property
The Service — including its software, design, and branding — is owned by Cover or its licensors and protected by law. These Terms grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. No other rights are granted.
12. Disclaimers and Limitation of Liability
12.1 As-is. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA (INCLUDING SPORTS DATA AND GRADED RESULTS) WILL BE ACCURATE.
12.2 No liability for league arrangements. COVER HAS NO LIABILITY OF ANY KIND ARISING FROM PRIVATE ARRANGEMENTS AMONG LEAGUE MEMBERS, INCLUDING ANY EXCHANGE OF VALUE OUTSIDE THE SERVICE (SECTION 3.3).
12.3 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID COVER FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, AND (B) FIFTY U.S. DOLLARS (US $50). IN NO EVENT WILL COVER BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.
12.4 Some jurisdictions do not allow certain limitations; these apply to the fullest extent permitted where you live.
13. Suspension and Termination
You may stop using the Service at any time and may request account deletion as described in the Privacy Policy. We may suspend or terminate your access (or an entire league) for violation of these Terms, for legal compliance, or if the Service is discontinued. Where practical, we will give notice. Sections that by their nature survive termination (including 3, 9, 12, 14, and 16) survive.
14. Indemnification
You will defend and hold harmless Cover from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms — including Section 3.3 (private arrangements) and Section 8 (acceptable use) — or your violation of applicable law.
15. Changes to These Terms
We may update these Terms. Each version is stored with a version number and a cryptographic hash. For material changes, the Service will require you to review and accept the new version before continuing; for non-material changes (like typo fixes), we may update without re-acceptance. The version you last accepted, and when, is recorded.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction over disputes arising from these Terms or the Service, and you consent to their jurisdiction.
17. Miscellaneous
These Terms plus the Privacy Policy are the entire agreement between you and Cover regarding the Service. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
